Rayoworx Flow

Terms of Service

Effective date: November 16, 2025

These Terms of Service (“Terms”) describe the legal agreement between Rayoworx LLC and customers using the Rayoworx Flow scheduling platform. They should be read together with our Privacy Policy.

1. Acceptance of Terms

Rayoworx Flow is a software platform operated by Rayoworx LLC (“Rayoworx”, “we”, “our”, or “us”). By accessing or using any portion of the Rayoworx Flow marketing site, dashboard, APIs, or related services (collectively, the “Service”), you agree to these Terms of Service (“Terms”). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, you must not use the Service.

2. Eligibility and Account Responsibilities

You must be at least 18 years old and able to enter into legally binding agreements to use the Service.

  • You are responsible for maintaining accurate account information and safeguarding login credentials.
  • You will promptly notify Rayoworx of any unauthorized account access or suspected security incident.
  • You will only create accounts for yourself or your organization and will not misrepresent your affiliation.

3. Subscription Plans, Trials, and Billing

Certain features require a paid subscription or add-on package. Plan eligibility, quotas, and pricing are described on the Rayoworx Flow pricing page and/or in your order form.

  • Billing is processed through Stripe or another authorized payment processor. You authorize Rayoworx and its processors to charge your selected payment method for recurring fees, taxes, and usage-based charges.
  • Trials and promotional credits are provided at Rayoworx’s discretion and may be revoked if misuse is suspected.
  • Downgrades, upgrades, or cancellations may adjust future charges but do not entitle you to refunds for previously collected fees unless required by law.

4. Appointment, Payment, and Client Data Handling

You control the service descriptions, prices, policies, and communications you configure inside Rayoworx Flow. You are solely responsible for honoring published policies and complying with applicable consumer, tax, and payment laws when transacting with your clients.

Where Rayoworx facilitates payment collection, funds flow directly between you and your client via Stripe; Rayoworx is not a bank, money transmitter, or marketplace and does not take custody of settlement funds.

5. Acceptable Use

You agree not to:

  • Use the Service for unlawful, harmful, or deceptive purposes or to infringe the rights of others.
  • Transmit malware, spam, or other disruptive code.
  • Reverse engineer, probe, or otherwise attempt to gain unauthorized access to the Service or related systems.
  • Misuse rate limits, APIs, or automation in ways that degrade platform stability.

Rayoworx may suspend or terminate access if acceptable use is violated or if continued access poses risk to the platform or other users.

6. Data Protection and Privacy

Our collection and use of personal information is described in the Rayoworx Flow Privacy Policy, which is incorporated into these Terms. You are responsible for obtaining all required consents from your staff, contractors, and clients before storing their information in the Service.

You must not upload regulated or special-category data (such as protected health information or cardholder data) unless you have received prior written authorization from Rayoworx.

7. Intellectual Property

Rayoworx and its licensors retain all rights, title, and interest in the Service, including software, documentation, trademarks, and derivative works. Subject to these Terms, you receive a non-exclusive, non-transferable, revocable license to access and use the Service during your subscription.

All feedback or suggestions you provide may be used by Rayoworx without restriction.

8. Confidentiality

Either party may disclose non-public information (“Confidential Information”) to the other. Each party will use the other’s Confidential Information only to perform obligations under these Terms and will protect it with the same care they use for their own confidential data.

9. Service Availability and Modifications

We strive for high availability but do not guarantee uninterrupted or error-free operation. Planned maintenance and urgent patches may temporarily reduce access. Rayoworx may modify or discontinue features by providing notice via the dashboard, email, or marketing site.

10. Termination

You may terminate your subscription through the billing portal or by contacting support. Rayoworx may suspend or terminate access for violations of these Terms, non-payment, or legal compliance reasons. Upon termination you must cease using the Service, and Rayoworx may delete or anonymize account data after the retention period described in the Privacy Policy.

11. Warranties and Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Rayoworx disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, Rayoworx’s total liability arising from or relating to the Service is limited to the fees you paid to Rayoworx during the six (6) months preceding the event giving rise to liability. Rayoworx is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, lost profits, or loss of data, even if advised of the possibility.

13. Indemnification

You will defend, indemnify, and hold harmless Rayoworx, its affiliates, and their directors, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your content, or your violation of these Terms or applicable law.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Illinois, excluding conflict-of-law principles. Any dispute that cannot be resolved informally will be submitted to binding arbitration in Sangamon County, Illinois, administered by the American Arbitration Association under its Commercial Rules. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or Confidential Information.

15. Changes to These Terms

Rayoworx may update these Terms to reflect product changes, legal requirements, or operational needs. Updated Terms will be posted on this page with a revised effective date. Material changes will also be communicated through email or in-product notification. Continued use after the effective date constitutes acceptance of the revised Terms.
